Terms and Conditions

The rules that govern customer accounts, subscriptions, acceptable use, AI-generated outputs, integrations, and access to Replium.

1. Acceptance of Terms

These Terms and Conditions govern access to and use of the Replium platform, website, APIs, widgets, messaging integrations, and related services. By creating an account, connecting an integration, or using the Services, you agree to these Terms.

If you use Replium on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Description of Services

We may modify, add, or remove features as the Services evolve. We will make reasonable efforts to notify customers of material changes that affect paid subscriptions.

  • Chatbot creation, configuration, training, deployment, and customization.
  • Retrieval-augmented generation over uploaded documents, website content, prompts, and other approved sources.
  • Website widgets, APIs, conversation management, analytics, and messaging integrations such as Facebook Messenger.
  • Subscription, billing, workspace, member, and usage management.

3. Accounts and Security

  • You must be at least 18 years old and able to enter into a binding contract.
  • You must provide accurate, complete, and current account information.
  • You are responsible for safeguarding account credentials and all activity under your account.
  • You must notify us promptly if you suspect unauthorized access or misuse.

4. Subscriptions and Billing

  • Paid features require a subscription plan or separate order form.
  • Subscriptions are billed in advance on the selected billing cycle unless stated otherwise.
  • Subscriptions renew automatically unless canceled before the renewal date.
  • Payments are processed by third-party providers such as SSLCOMMERZ or Stripe.
  • Fees are non-refundable except where required by law or expressly stated in writing.
  • Failed or late payments may result in suspension or downgrade of paid features.

5. Acceptable Use

You agree not to use the Services to:

  • Violate applicable law, platform policy, or third-party rights.
  • Upload malware, illegal content, abusive content, phishing content, spam, or fraudulent material.
  • Impersonate others or misrepresent affiliation with any person, company, or platform.
  • Interfere with the security, integrity, availability, or performance of the Services.
  • Attempt unauthorized access to systems, accounts, workspaces, data, or integrations.
  • Reverse engineer, scrape, overload, bypass quotas, or circumvent subscription limits.
  • Use AI outputs as the sole basis for legal, medical, financial, safety, or high-impact decisions.

6. Customer Content and AI Outputs

You retain ownership of content you upload, submit, connect, or generate through the Services. You grant Replium a limited, non-exclusive, worldwide license to host, process, reproduce, transform, and display that content solely to provide, secure, support, and improve the Services.

The Services may use third-party AI models to generate responses. AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing outputs before relying on them or presenting them to end-users in sensitive contexts.

  • You must have all rights and permissions needed to upload or process content through Replium.
  • You must not upload regulated or highly sensitive personal data unless you have a lawful basis and appropriate safeguards.
  • Embeddings, vector indexes, and retrieval metadata may be created to provide chatbot functionality.

7. Privacy and Data Processing

Your use of the Services is also governed by our Privacy Policy. When you process end-user personal data through Replium, you are generally the data controller and Replium acts as a data processor on your behalf.

You are responsible for providing required notices, obtaining required consents, responding to end-user data requests, and complying with applicable data protection laws.

8. Third-Party Services and Integrations

The Services may integrate with third-party platforms such as Facebook Messenger, payment gateways, AI providers, hosting providers, analytics tools, and website widgets. Your use of third-party integrations is subject to their terms, policies, permissions, and technical requirements.

Replium is not responsible for the availability, accuracy, security, or practices of third-party services outside our control.

9. Availability and Support

We use commercially reasonable efforts to maintain reliable Services, but we do not guarantee uninterrupted or error-free access. Maintenance, upgrades, repairs, incidents, or third-party failures may cause temporary downtime.

Support levels and response times may vary by subscription plan and support channel.

10. Intellectual Property

Replium and its licensors own all rights, title, and interest in the Services, including software, interfaces, designs, documentation, trademarks, and brand assets. These Terms do not transfer ownership of the Services to you.

You may not use Replium trademarks, logos, or branding without prior written permission.

11. Suspension and Termination

  • You may stop using the Services or cancel a paid subscription through your account settings or by contacting us.
  • We may suspend or terminate access if you violate these Terms, fail to pay fees, create security risk, abuse the Services, or use the Services unlawfully.
  • After termination, your right to use the Services ends immediately, outstanding fees remain payable, and content may be deleted after a reasonable retention period unless law requires otherwise.

12. Disclaimers

The Services are provided as is and as available. To the maximum extent permitted by law, Replium disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.

13. Limitation of Liability

To the maximum extent permitted by law, Replium and its affiliates, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business interruption.

Our total liability for any claim relating to these Terms or the Services will not exceed the greater of the amount you paid to Replium in the twelve months before the claim or USD 100.

14. Indemnification

You agree to defend, indemnify, and hold harmless Replium and its affiliates, officers, employees, contractors, and agents from claims, damages, liabilities, losses, and expenses arising from your content, your use of the Services, your violation of these Terms, your violation of law, or your infringement of third-party rights.

15. Governing Law

These Terms are governed by the laws of Bangladesh, without regard to conflict of law principles. Disputes will first be addressed through good-faith negotiation. If unresolved, disputes may be brought before the competent courts of Bangladesh.

16. Changes to Terms

We may update these Terms from time to time. Material changes may be communicated by email, in-product notice, or posting an updated version. Continued use of the Services after changes take effect means you accept the revised Terms.
